OVERVIEW
Welcome to VESARO Watch Co. LLC ("VESARO," "we," "us," or "our"). We operate this website, online store, and related services, content, features, tools, and customer experiences (collectively, the "Services"). Our online store is powered by Shopify, which provides the ecommerce platform that enables us to offer the Services to you.
These Terms of Service ("Terms"), together with any policies referenced in them, describe your rights and responsibilities when you access or use the Services. Please read them carefully. They contain important information about orders, shipping, intellectual property, warranty disclaimers, limitations of liability, and dispute-related matters.
By visiting, interacting with, or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not access or use the Services.
If you support a VESARO project through Kickstarter or another crowdfunding platform, your pledge is governed by the applicable crowdfunding platform's terms and the specific campaign terms. A crowdfunding pledge is not a purchase placed through this Shopify store unless expressly stated otherwise.
SECTION 1 - ELIGIBILITY, ACCESS, AND ACCOUNTS
You may use the Services only if you can legally enter into a binding contract in your jurisdiction. If you permit a minor to use the Services through a device, account, or payment method you control, you are responsible for that use to the extent permitted by law.
To use certain features or make a purchase, you may be asked to provide information such as your name, email address, billing details, payment information, and shipping information. You represent that information you provide is accurate, current, and complete and that you have the right to provide it.
You are responsible for maintaining the confidentiality and security of your account credentials and for activity conducted through your account. You may not sell, transfer, assign, or license your account to another person without our written permission.
SECTION 2 - PRODUCTS, PROTOTYPES, AND PRODUCT IMAGES
We make reasonable efforts to describe and display VESARO products accurately. Colors, finishes, textures, reflections, proportions, and other visual details may appear differently depending on your screen, device, lighting, browser settings, or photography.
From time to time, our website or campaign materials may show working prototypes, pre-production samples, concept images, digital visualizations, or photography that has been edited for ordinary presentation purposes. Where appropriate, we may identify concept or digital imagery separately from photographs of physical working prototypes.
Final production products may contain minor manufacturing, finishing, color, alignment, packaging, or component variations that do not materially change the advertised design, function, or specifications. If a material specification changes before fulfillment, we will provide any notice required by applicable law and, where appropriate, update the relevant product or campaign information.
Product descriptions, specifications, availability, and quantities may change without notice. We may discontinue products or limit quantities by customer, order, geographic region, or jurisdiction where permitted by law.
Nothing in this section limits any express written warranty we separately provide with a VESARO product or any rights that cannot legally be waived.
SECTION 3 - ORDERS AND ACCEPTANCE
When you submit an order through our store, you are making an offer to purchase. An order is not accepted until we confirm acceptance or otherwise begin fulfillment, and we reserve the right to accept, decline, limit, or cancel an order as permitted by law.
We may cancel or limit orders that appear to be fraudulent, unauthorized, placed for prohibited resale, placed using incorrect pricing caused by an obvious error, or otherwise inconsistent with these Terms. If we cancel an order after payment has been captured, we will issue the appropriate refund to the original payment method, subject to applicable payment-processing rules.
Please review your order carefully before submitting it. We may not be able to change or cancel an order after it enters fulfillment. Returns and exchanges are governed by our Refund Policy.
Unless we expressly approve otherwise, products purchased through our consumer store are intended for personal or household use and not for unauthorized commercial resale or export.
SECTION 4 - PRICING, PAYMENT, TAXES, AND PROMOTIONS
Prices, discounts, product availability, and promotions may change without notice. The price charged for a store purchase will be the price shown at checkout when the order is submitted, subject to correction of obvious errors.
Unless expressly stated otherwise, store prices do not include applicable taxes, shipping, handling, customs duties, import taxes, brokerage fees, or other governmental charges. Shipping and tax amounts, when applicable, will be shown or calculated at checkout to the extent supported by the Services.
Crowdfunding reward pricing, shipping, and taxes are governed by the applicable campaign page and platform terms, which may differ from prices or shipping rules on this website.
You agree to provide current, complete, and accurate billing and payment information. You represent that you are authorized to use the payment method provided and that charges properly incurred will be honored by the payment provider.
Separate promotional terms may apply to a discount, launch offer, giveaway, or special promotion. If promotional terms conflict with these Terms on a matter specific to the promotion, the promotional terms control for that matter.
SECTION 5 - PREORDERS AND CROWDFUNDING
A product identified as a preorder, reservation, crowdfunding reward, or pre-production item may not be immediately available for shipment. Estimated production and delivery dates are good-faith estimates and are not guarantees unless expressly stated otherwise.
Manufacturing, quality-control, component-sourcing, carrier, customs, regulatory, force-majeure, or other events outside our reasonable control may affect production or delivery timing. We will provide material updates through the channel associated with the order or campaign when appropriate.
Kickstarter pledges and rewards are governed by Kickstarter's Terms of Use and the VESARO campaign terms. These Terms govern use of the VESARO website and ordinary store transactions unless a campaign page expressly incorporates them.
Nothing in this section removes rights that cannot be waived under applicable consumer-protection law.
SECTION 6 - SHIPPING, DELIVERY, AND LOST PACKAGES
Shipping methods, estimated delivery windows, and charges are shown at checkout or in the applicable campaign materials. Delivery dates are estimates unless expressly guaranteed in writing.
We are not responsible for delays caused by carriers, customs processing, weather, labor disruptions, incorrect or incomplete addresses supplied by the customer, or other events outside our reasonable control.
If tracking indicates that a package is lost, materially delayed, damaged in transit, or not delivered, please contact us promptly at hello@vesarowatches.com. We may require reasonable documentation and/or completion of a carrier investigation before a replacement, refund, or other resolution is issued.
International customers are responsible for customs duties, import taxes, brokerage charges, or similar fees imposed by the destination country unless the checkout or campaign page expressly states that VESARO will pay them.
Nothing in this section limits rights or remedies available to you under applicable law.
SECTION 7 - RETURNS, EXCHANGES, AND REFUNDS
Returns, exchanges, refunds, eligibility requirements, time limits, condition requirements, and any non-returnable items are governed by our Refund Policy. If these Terms conflict with the Refund Policy on a matter specifically addressed by that policy, the Refund Policy controls for that matter.
Refunds, when approved, are issued to the original payment method unless otherwise required by law or agreed in writing.
SECTION 8 - INTELLECTUAL PROPERTY AND VESARO BRAND RIGHTS
The Services and their content, including text, product photography, graphics, video, audio, layouts, artwork, packaging artwork, product names, product stories, website design elements, and other original materials, are owned by or licensed to VESARO Watch Co. LLC and are protected by applicable intellectual property laws.
VESARO, VESARO Watch Co., our logos, model names, designs, slogans, trade dress, and related brand elements are trademarks, claimed trademarks, or other intellectual property of VESARO Watch Co. LLC or its licensors. No license or right to use any VESARO brand element is granted except as expressly stated in writing.
You may access the Services for personal, non-commercial use. You may not reproduce, distribute, modify, republish, create derivative works from, commercially exploit, scrape, copy, store, transmit, publicly display, or otherwise use protected materials from the Services without our prior written permission, except where applicable law expressly permits the use.
The Shopify name, logos, product names, and related marks belong to Shopify or its licensors. Other third-party names, logos, and marks appearing through the Services belong to their respective owners.
Unless and until a mark is federally registered, use of the ™ symbol or other non-registration notice does not represent that the mark has been federally registered. The ® symbol will be used only for marks that are federally registered where such use is legally appropriate.
SECTION 9 - OPTIONAL AND THIRD-PARTY TOOLS
The Services may provide access to tools, applications, payment services, analytics services, social-media features, or other functionality provided by third parties. We do not control all aspects of those third-party services.
Unless we expressly state otherwise, third-party tools are provided subject to the applicable third party's terms and policies. Your use of a third-party tool is at your own risk, and you should review the third party's terms before using it.
SECTION 10 - THIRD-PARTY LINKS
The Services may contain links to websites, services, or content operated by third parties. We do not control those third-party sites and are not responsible for their content, availability, security, privacy practices, products, or services.
If you leave the Services to visit a third-party site, you do so at your own risk and should review that third party's policies before completing a transaction or providing personal information.
SECTION 11 - RELATIONSHIP WITH SHOPIFY
VESARO Watch Co. is powered by Shopify, which enables us to provide the Services to you. However, purchases made in our store are made directly with VESARO Watch Co. LLC, not Shopify.
To the extent permitted by law, Shopify is not responsible for VESARO products, fulfillment, customer service, warranties, refunds, or other obligations arising from a transaction between you and VESARO Watch Co. LLC.
SECTION 12 - PRIVACY
Our collection, use, disclosure, and handling of personal information through the Services are described in our Privacy Policy. Because our store is hosted by Shopify, Shopify and other service providers may also process personal information as described in their applicable privacy policies.
By using the Services, you acknowledge that personal information may be processed by service providers in jurisdictions other than your place of residence, subject to applicable law and the safeguards described in our Privacy Policy.

SECTION 13 - FEEDBACK, REVIEWS, AND USER SUBMISSIONS
If you submit reviews, photographs, comments, ideas, suggestions, feedback, proposals, or other content to us ("Feedback"), you represent that you have the necessary rights to submit it and that it does not violate any law or third-party right.
You grant VESARO Watch Co. LLC a non-exclusive, worldwide, perpetual, royalty-free, sublicensable license to use, reproduce, adapt, publish, distribute, display, and otherwise use Feedback for operating, improving, and promoting the Services and VESARO products, subject to applicable law.
You are responsible for the accuracy and legality of your Feedback. We may remove Feedback that we reasonably believe is unlawful, fraudulent, abusive, misleading, infringing, obscene, malicious, or otherwise inappropriate.
If you received compensation, a free product, discount, or other incentive in connection with a review or endorsement, you must make any disclosure required by applicable law.
SECTION 14 - ERRORS, INACCURACIES, AND OMISSIONS
Information on the Services may occasionally contain typographical errors, inaccuracies, or omissions relating to product descriptions, specifications, pricing, promotions, availability, shipping charges, or delivery estimates.
We may correct errors, update information, or cancel an affected store order when permitted by law. If an error materially affects an accepted order, we will take reasonable steps to notify you and provide any remedy required by applicable law.
SECTION 15 - PROHIBITED USES
You may use the Services only for lawful purposes. You may not use the Services to violate law; infringe intellectual property or privacy rights; harass, threaten, defame, or abuse others; transmit false or misleading information; distribute malware; attempt unauthorized access; interfere with the security or operation of the Services; engage in fraud; or send unauthorized spam, phishing, or similar communications.
You may not scrape, extract, harvest, reproduce, or commercially exploit substantial portions of the Services through automated or manual means where prohibited by law, these Terms, or technical access controls.
You may not attempt to bypass rate limits, security controls, robot-exclusion measures, access restrictions, CAPTCHAs, or other technical protections.
We may suspend or terminate access where we reasonably believe these Terms have been violated.
SECTION 16 - AUTOMATED AGENTS
If you use software or a service that autonomously or semi-autonomously accesses or interacts with the Services on your behalf (an "Agent"), you are responsible for ensuring that the Agent complies with these Terms and applicable law.
An Agent must not misrepresent itself as a human, circumvent access controls, bypass CAPTCHAs, conceal its automated nature where identification is requested, or continue accessing the Services after we have expressly required it to stop.
We may use technical measures to limit or block automated access where necessary to protect the Services, our customers, or our systems.
SECTION 17 - TERMINATION
We may suspend or terminate your access to all or part of the Services if you violate these Terms, misuse the Services, create security or fraud risk, or where otherwise permitted by law.
Termination does not eliminate obligations that arose before termination. Provisions that by their nature should survive termination, including intellectual property, disclaimers, limitation of liability, indemnification, governing law, and related provisions, will continue to apply.
SECTION 18 - DISCLAIMER OF WARRANTIES
Except for any express written warranty provided by VESARO Watch Co. LLC and except to the extent prohibited by law, the Services are provided on an "as is" and "as available" basis.
To the fullest extent permitted by law, we disclaim implied warranties or conditions that may otherwise apply to the Services, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Some jurisdictions do not allow certain warranty exclusions, so some of these exclusions may not apply to you.
We do not guarantee that the website will always be uninterrupted, error-free, secure, or available at all times.
SECTION 19 - LIMITATION OF LIABILITY
To the fullest extent permitted by law, VESARO Watch Co. LLC and its affiliates, officers, employees, contractors, service providers, licensors, and agents will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including lost profits, lost revenue, loss of data, or similar losses arising from or related to use of the Services or products purchased through the Services.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited. If applicable law does not permit a limitation stated here, that limitation will apply only to the maximum extent permitted by law.
SECTION 20 - INDEMNIFICATION
To the extent permitted by law, you agree to indemnify and hold harmless VESARO Watch Co. LLC and its affiliates, officers, directors, employees, contractors, service providers, licensors, and agents from third-party claims, liabilities, damages, losses, and reasonable costs arising from your material breach of these Terms, your unlawful use of the Services, or your infringement of another person's rights.
We will provide reasonable notice of an indemnifiable claim where practicable. We may participate in or control the defense of a claim as permitted by law, and you agree to provide reasonable cooperation.
SECTION 21 - SEVERABILITY
If any provision of these Terms is found to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed to the minimum extent necessary, and the remaining provisions will remain in effect.
SECTION 22 - WAIVER AND ENTIRE AGREEMENT
Our failure to enforce any provision of these Terms is not a waiver of that provision or any other right.
These Terms, together with policies and additional terms expressly incorporated by reference, constitute the agreement governing your use of the Services and supersede prior or contemporaneous communications concerning the same subject matter, except where a separate written agreement expressly controls.
SECTION 23 - ASSIGNMENT
You may not transfer or assign your rights or obligations under these Terms without our prior written consent. We may assign or transfer these Terms in connection with a merger, reorganization, sale of assets, financing, or other business transaction, or as otherwise permitted by law.
SECTION 24 - GOVERNING LAW AND VENUE
These Terms and any dispute arising from or relating to the Services or a store transaction will be governed by the laws of the State of Florida, without regard to conflict-of-law principles, except where federal law applies or applicable consumer law requires otherwise.
Subject to any rights that cannot be waived, you and VESARO Watch Co. LLC consent to the personal jurisdiction of the appropriate state or federal courts located in Florida for disputes that are properly brought in court. Nothing in this section prevents either party from seeking relief in another forum when applicable law requires or permits it.
SECTION 25 - CHANGES TO THESE TERMS
We may update these Terms from time to time. The current version will be posted on this page with an updated "Last Updated" date.
If applicable law requires notice of a material change, we will provide notice in the manner required by law. Your continued use of the Services after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.
